1. Agreement to Terms

By accessing or using the services provided by Coinbax, Inc. ("Coinbax," "we," "our," or "us"), including our API, platform, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

If you do not agree to these Terms, you may not access or use the Services.


2. Service Description

Coinbax provides programmable stablecoin payment infrastructure for financial institutions. Our Services include:

  • Programmable Escrow — Smart contract-based escrow services that hold funds until predefined conditions are met
  • Multi-Chain Payment Processing — Transaction processing across supported blockchain networks including Base, Ethereum, Solana, and other EVM-compatible chains
  • Real-Time Compliance — Integrated KYC, AML, and sanctions screening through third-party compliance providers
  • API Access — RESTful APIs for programmatic integration with your systems
  • Dispute Resolution — Built-in mechanisms for handling transaction disputes

Coinbax acts as infrastructure provider. We do not act as a bank, money transmitter, or custodian of end-user funds in the traditional sense. Funds in escrow are held in smart contracts on public blockchain networks.


3. Eligibility

The Services are intended for use by financial institutions, licensed money services businesses, and other regulated entities. To use our Services, you must:

  • Be a duly organized legal entity in good standing in your jurisdiction
  • Have all necessary licenses, permits, and authorizations required to conduct your business and use our Services
  • Maintain an active compliance program including KYC/AML procedures
  • Not be located in, or a national or resident of, any jurisdiction subject to comprehensive U.S. sanctions
  • Not be listed on any U.S. or international sanctions list, including OFAC's Specially Designated Nationals List

We reserve the right to request documentation verifying your eligibility and compliance status at any time.


4. Account Registration & API Access

To access the Services, you must register for an account and obtain API credentials. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security and confidentiality of your API keys and OAuth credentials
  • Immediately notify us of any unauthorized use of your account or credentials
  • Accept responsibility for all activities that occur under your account
  • Not share, transfer, or sell your API credentials to third parties
  • Comply with our rate limits and API usage guidelines

API credentials are scoped with specific permissions. You are responsible for ensuring your credentials have only the permissions necessary for your use case.


5. Service Fees & Billing

Fees for the Services are set forth in your service agreement or order form. Unless otherwise specified:

  • Platform fees are charged on a per-transaction basis as agreed in your contract
  • You are responsible for all blockchain network fees (gas fees) associated with transactions
  • Fees are non-refundable once a transaction has been initiated on the blockchain
  • We may modify our fee schedule with 30 days' prior written notice

Payment terms and billing cycles are specified in your service agreement. Late payments may result in suspension of Services.


6. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall:

  • Comply with all applicable laws, regulations, and industry standards
  • Implement and maintain appropriate security measures for your systems
  • Conduct appropriate due diligence on your customers and counterparties
  • Maintain accurate records of all transactions processed through the Services
  • Cooperate with reasonable requests for information related to compliance matters
  • Promptly report any suspected fraudulent or illegal activity

7. Prohibited Activities

You may not use the Services to:

  • Process transactions involving money laundering, terrorist financing, or other financial crimes
  • Violate any applicable sanctions laws or regulations, including OFAC regulations
  • Process transactions to, from, or on behalf of sanctioned individuals, entities, or jurisdictions
  • Engage in fraud, market manipulation, or other deceptive practices
  • Process transactions related to illegal goods or services
  • Circumvent or attempt to circumvent our security measures or compliance controls
  • Interfere with or disrupt the integrity or performance of the Services
  • Reverse engineer, decompile, or disassemble any aspect of the Services
  • Use the Services in any manner that could damage, disable, or impair our systems
  • Resell or redistribute the Services without our prior written consent

Violation of these prohibitions may result in immediate termination of your account and reporting to relevant authorities.


8. Intellectual Property

All intellectual property rights in the Services, including software, APIs, documentation, trademarks, and trade secrets, are owned by Coinbax or our licensors. These Terms do not grant you any ownership rights in the Services.

We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. You may not:

  • Copy, modify, or create derivative works based on the Services
  • Remove or alter any proprietary notices or labels on the Services
  • Use our trademarks without prior written permission

You retain all rights to your data and content that you submit through the Services.


9. Data Protection & Confidentiality

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose such information to third parties without prior written consent, except as required by law or as necessary to perform under these Terms.

Confidential information includes, but is not limited to:

  • API credentials and security configurations
  • Transaction data and customer information
  • Business plans, pricing, and financial information
  • Technical specifications and proprietary processes

10. Third-Party Services

The Services integrate with and rely upon third-party services, including:

  • Blockchain Networks — Public blockchain networks including Base, Ethereum, Solana, and others
  • Compliance Providers — KYC/AML screening services such as Persona and Alloy
  • Blockchain Analytics — Transaction monitoring services such as Chainalysis and Merkle Science
  • Wallet Infrastructure — Key management and signing services

We are not responsible for the availability, accuracy, or performance of third-party services. Your use of third-party services may be subject to additional terms and conditions.


11. Service Availability

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to:

  • Scheduled maintenance (with reasonable advance notice when possible)
  • Unscheduled maintenance to address critical issues
  • Factors beyond our reasonable control, including blockchain network congestion or outages

Specific service level commitments, if any, are set forth in your service agreement.


12. Blockchain Transaction Risks

You acknowledge and accept the inherent risks associated with blockchain-based transactions:

  • Irreversibility — Blockchain transactions cannot be reversed once confirmed on the network
  • Network Risks — Blockchain networks may experience congestion, forks, or other disruptions
  • Smart Contract Risks — Smart contracts may contain bugs or vulnerabilities despite auditing
  • Regulatory Risks — Laws and regulations governing digital assets may change
  • Technology Risks — The underlying blockchain technology may evolve in unpredictable ways

You are solely responsible for verifying the accuracy of wallet addresses and transaction details before initiating transactions.


13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • COINBAX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU TO COINBAX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
  • WE ARE NOT LIABLE FOR ANY LOSSES RESULTING FROM BLOCKCHAIN NETWORK ISSUES, SMART CONTRACT FAILURES, OR THIRD-PARTY SERVICE DISRUPTIONS

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.


14. Indemnification

You agree to indemnify, defend, and hold harmless Coinbax and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your infringement of any third-party rights
  • Any disputes between you and your customers or counterparties

15. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules and Procedures.

  • The arbitration shall be conducted by a single arbitrator with expertise in technology and financial services
  • The seat of arbitration shall be Wilmington, Delaware
  • The language of the arbitration shall be English
  • The arbitrator's decision shall be final and binding
  • Judgment on the award may be entered in any court of competent jurisdiction

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.


16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.


17. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  • Updating the "Last Updated" date at the top of these Terms
  • Sending notice to the email address associated with your account
  • Providing notice through the Services

Your continued use of the Services after such modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Services.


18. Termination

Either party may terminate these Terms:

  • For convenience, with 30 days' prior written notice
  • Immediately, if the other party materially breaches these Terms and fails to cure within 15 days of notice
  • Immediately, if required by law or regulatory authority

Upon termination:

  • Your access to the Services will be revoked
  • You must immediately cease using our API and destroy any API credentials
  • Pending transactions will be processed in accordance with their terms
  • Provisions that by their nature should survive will remain in effect

19. General Provisions

  • Entire Agreement — These Terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and Coinbax regarding the Services
  • Severability — If any provision is found unenforceable, the remaining provisions will continue in effect
  • Waiver — Failure to enforce any right or provision shall not constitute a waiver of future enforcement
  • Assignment — You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets
  • Force Majeure — Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control
